Terms and Conditions

Article 1 — Applicability

1.1 These Terms and Conditions apply to all offers made by Webshop JANICE B.V. (hereinafter: “JANICE”) and to all agreements entered into with JANICE.

1.2 In addition to these Terms and Conditions, Supplementary Terms and Conditions may apply to certain services and/or products if expressly indicated.

1.3 The provisions of these General Terms and Conditions may only be deviated from if this has been expressly agreed in writing, in which case the remaining provisions of these terms and conditions remain in full force and effect.

1.4 If the Buyer also refers to its own terms and conditions, those terms and conditions shall not apply unless JANICE has expressly agreed to them in writing.

1.5 “Buyer” means any visitor to the website or any natural person or legal entity that is or will be in a contractual relationship of any kind with JANICE.

1.6 JANICE reserves the right to amend or supplement these terms and conditions from time to time.

1.7 By using the JANICE website and/or placing an order, the Buyer accepts these General Terms and Conditions as well as all other rights and obligations as stated on the website.

1.8 JANICE is authorized to engage third parties in the performance of an agreement with the Buyer.

Article 2 — Offers and Formation of Agreements

2.1 Offers or quotations shall be regarded as an invitation to potential Buyers to make an offer. JANICE is in no way bound by these, unless this has been clearly and unambiguously established in writing. The acceptance of the invitation to make an offer by the potential Buyer constitutes an offer and leads to the formation of an agreement only if the other provisions of this article are met.

2.2 Offers are valid while supplies last.

2.3 A personalized quote is valid for 7 days, unless a different term is specified in the quote.

2.4 An offer by the prospective Buyer as referred to in Article 2.1 is deemed to have been made in one of the following circumstances:
– the prospective Buyer has specified exactly which product and/or service they wish to receive;
– a quote has been signed by the Buyer and received by JANICE in the event that JANICE has issued a personalized quote;
– the potential Buyer has entered the information on the appropriate form on the website and the relevant data (“order form”) has been sent to JANICE electronically and received by JANICE.

2.5 An agreement is concluded at the moment an order confirmation is provided to the Buyer or, in the event the offer was made via the website, sent by email to the email address provided by the Buyer.

2.6 The Buyer and JANICE expressly agree that by using electronic forms of communication, a valid agreement is concluded as soon as the conditions in Articles 2.4 and 2.5 are met. In particular, the absence of a traditional signature does not affect the binding force of the offer and its acceptance. To the extent permitted by law, JANICE’s electronic records shall serve as prima facie evidence.

2.7 Information, images, communications provided verbally, by telephone, or via email, and statements, etc., regarding all offers and the main characteristics of the products are presented or made as accurately as possible. JANICE is not liable for obvious typographical errors.

Article 4 — Payment

3.1 All prices are expressed in euros, in accordance with the relevant legal regulations, and include sales tax.

3.2 Special offers are valid only for the duration specified in the offer. This duration is printed in a brochure or stated on the website regarding that special offer.

3.3 The Buyer is obligated to pay the price that JANICE has communicated to the Buyer in its confirmation pursuant to Article 2.5 of these terms and conditions. Obvious (typing) errors in the price quotation, such as evident inaccuracies, may be corrected by JANICE even after the agreement has been concluded.

3.4 Shipping costs are not included in the price. The amount of the shipping costs depends on the price of the ordered product and is stated in the shopping cart.

Article 4 — Payment

4.1 For orders placed via the website, payment can be made using the following methods:
– iDEAL, Bancontact, GiroPay, SEPA transfer, SOFORT Banking, EPS, KBC/CBC, Belfius Direct Net
.– Bank transfer.

4.2 JANICE may expand the payment options in the future. Other payment options will be announced via the website.

4.3 Payment methods may only be used if the conditions of such methods, including a credit check of the potential Buyer, are met.

4.4 If JANICE has agreed to a payment term, the Buyer is in default simply by the expiration of this term. Payment terms may only be agreed upon in writing under conditions to be established and agreed upon at that time.

4.5 JANICE is not a party to the relationship between the Buyer and the card issuer.

4.6 In the event of non-payment or late payment by the Buyer, interest of 1.5% per month shall be due from the day on which payment was due at the latest until the day of full settlement of the outstanding amount, with any month that has commenced being counted as a full month.

4.7 The Buyer shall also be liable for all judicial and extrajudicial costs of any nature whatsoever that JANICE has incurred as a result of the Buyer’s failure to fulfill its (payment) obligations.

4.8 In the event of late payment, JANICE is authorized to terminate the agreement with immediate effect or to suspend (further) delivery until the Buyer has fully fulfilled its payment obligations, including the payment of interest and costs owed.

Member Credits

JANICE’s Member Credits are intended to thank our regular customers for their orders.

You earn points for every product from the new collection. Every full euro is worth 1 point, and once you reach 550 points, you’ll receive a discount code worth 20 euros that you can redeem on your next order of 100 euros or more. Member credits are automatically added to your account after placing and paying for an order. When you’re logged into your account, you can see how many points you’ve collected. If you make a purchase in our BRANDSTORE, there may be a slight delay before the points are added to your wallet.

Each product in the new collection from our webshop indicates that you will receive a certain number of member credits upon purchase, which you can convert into a discount voucher for your next order. If you return your order, or part of it, these earned points will be deducted.

Multiple discount codes cannot be applied at the same time. Only one code can be used at a time. The one-time welcome code can only be redeemed on an item from the new collection.

You can use the coupon you receive at any time. To do so, log in to your account on our webshop and enter your coupon code during checkout. The value of your coupon will then be automatically deducted from the total amount.

Of course, you can save points for as long as you like. Your points will not expire.

PLEASE NOTE: Member credits are only available to registered customers. If you check out as a guest, you cannot earn or redeem points.

Article 5 — Delivery and Delivery Time

5.1 We aim to ship orders placed before 4:00 PM on a business day the same day. During busy periods, this may be the next business day. Delivery usually takes place within 1 to 3 business days after shipment. The delivery times mentioned are indicative and are never considered a strict deadline. JANICE may provide further information regarding delivery times on the website or communicate it in writing by other means. Such information is provided for guidance only. Please take into account holidays, weekends, the time of ordering, and the month of December.

5.2 Deliveries are made to the address provided by the Buyer at the time the agreement was concluded. The Buyer will be notified of this in a timely manner.

5.3 As soon as the products to be delivered have been delivered to the specified delivery address, the risk regarding these products transfers to the Buyer.

Article 6 — Exchanges and Right of Withdrawal

Not sure about the size? Then visit our BRANDSTORE or one of the retailers that sell JANICE. Here you can try on and compare your desired item so you can be sure you have the right size.

PLEASE NOTE: Exchanges and returns of online orders are NOT possible at the BRANDSTORE.

6.1 We will send the replacement to you free of charge. The Buyer is responsible for the return shipping costs for the exchange. It is mandatory to carefully inspect the products immediately upon receipt. Exchanges are only possible by submitting a request through your personal account. The package will not be processed without logging into your account.

6.2 Of course, we respect the statutory right of withdrawal at all times. You have the right to withdraw from your online purchase within 14 days of receipt without giving a reason. This applies to all items, including SALE items. After submitting a written return request via your personal account, you then have 14 days to return the item to us.

6.3 During the cooling-off period, we ask that you handle the product and packaging with care. You may try on and inspect the item as you would in a physical store. If the product has been used beyond what is necessary to assess it, there may be a loss of value that we may deduct.

6.4 If you cancel the agreement, you will receive a refund for all payments you have made up to that point, including the standard shipping costs. Any additional costs incurred because you chose a delivery method other than the cheapest standard option will not be refunded. We will process the refund without delay and in any case no later than 14 business days after we have been notified of your cancellation. We may withhold the refund until we have received the goods back, or until you have provided proof that you have returned the goods. The refund will be made using the same payment method you used for the original payment.

6.5 Return shipping costs are your responsibility, for both the new collection and sale items. You can order a return label at a discounted rate when you submit your exchange or return request.

6.6 It is NOT possible to process returns without a completed return form or a note including the order number. If a package is returned without an order number, we cannot process it and it will be considered not received. Therefore, always write the order number on the enclosed return form.

6.7 After receiving your return, we aim to process it within 2 business days. During busy periods, we apply a maximum processing time of 14 business days. As soon as your return is processed, you will receive a confirmation email from us. Has the 14-business-day period passed without any notification? Please contact us at [email protected].

6.8 SALE items can be exchanged. If you can’t find anything or the desired size is sold out, you’ll receive store credit equal to the purchase amount. Store credit is added to your digital wallet, is valid indefinitely, and can be used on the entire online collection. By choosing an exchange or store credit, you help reduce unnecessary returns and contribute to a more conscious and sustainable fashion industry.

6.9 Cumulative discounts applied to the product range after purchase will not be refunded retroactively in the event of a return or exchange.

Article 7— Retention of Title & Warranty Provisions

7.1 Notwithstanding actual delivery, ownership of the products shall not pass to the Buyer until the Buyer has fully paid all amounts owed to JANICE under any agreement, including interest and costs, as well as those related to previous or subsequent deliveries and any work performed or to be performed in connection with the products.

7.2 The Buyer may not encumber, sell, resell, dispose of, or otherwise encumber the products before ownership has been transferred.

8.1.1 For products delivered by JANICE, only the warranty as determined by the manufacturer of the relevant product applies. Each product is equipped with a care label. All items from the new collection are covered by a warranty, provided the products have been treated and washed in accordance with the accompanying instructions. Items purchased without a discount and not during a sale are covered by a 6-month warranty from the date of purchase, provided they have been properly cared for and worn. We do not compensate for damage caused by the customer, but we can help determine how the “accident” might have occurred or how it can be resolved. We do not provide a warranty on appliqués, rhinestones, lurex, or other embellishments.

8.1.2 The warranty does not apply to SALE items.

8.2 JANICE’s liability, without prejudice to the provisions of Article 8.1, is limited to compensation for damages up to a maximum of the invoice value of the product or service that caused the damage. The preceding sentence does not apply in cases of intent or gross negligence on the part of JANICE.

8.3 JANICE is never liable for consequential or business losses, indirect damages, or loss of profit or revenue.

8.4 If the Buyer has entered into an agreement with JANICE for a warranty period, only the terms and conditions declared applicable to that agreement shall apply to this warranty.

8.5 Notwithstanding the provisions of this article, no warranty applies if the wear and tear can be considered normal, and furthermore in the following cases:
– if changes have been made to the product, including repairs performed without the consent of JANICE or the manufacturer;
– if the original invoice cannot be presented, has been altered, or rendered illegible;
– if defects result from use that does not correspond to the intended purpose or from improper use;
– if damage has been caused by willful misconduct, gross negligence, or negligent maintenance;
– if it can be demonstrated that the goods have been worn.

8.6 The Buyer is obligated to indemnify JANICE against any claims that third parties may assert against JANICE in connection with the performance of the agreement, to the extent that the law does not preclude the relevant damages and costs from being borne by the Buyer.

8.7 JANICE may include links on its website to other websites that may be of interest or informative to visitors. Such links are provided for informational purposes only. JANICE is not responsible for the content of the linked website or the use that may be made of it.

Articles 9 through 13 — Miscellaneous Provisions

ARTICLE 9 — FORCE MAJEURE

9.1 In the event of force majeure, JANICE is not obligated to fulfill its obligations toward the Buyer; respectively, the obligation is suspended for the duration of the force majeure.

9.2 Force majeure is understood to mean any circumstance beyond its control that wholly or partially prevents the fulfillment of its obligations toward the Buyer. Such circumstances include, among others, strikes, fire, operational disruptions, power outages, non-delivery or late delivery by suppliers or other engaged third parties, and the lack of any permit required by government authorities. Force majeure also includes disruptions in a (telecommunications) network or connection or in the communication systems used and/or the unavailability of the website at any time.

ARTICLE 10 — INTELLECTUAL PROPERTY

10.1 For the purposes of this provision, “intellectual property rights” means the trademark and all rights therein, as well as copyrights, trademarks, designs, know-how, and registered domain names, including but not limited to the domain name “JANICE” or any translation and/or representation thereof or related terms, as well as texts, databases containing data published on the site, the layout, look & feel, and graphic design of the site, the sales catalog, photos, images, videos, and music on the site that are subject to protection under copyrights, database rights, trademark rights, patent rights, or any other form of intellectual property rights.

10.2 The Buyer is aware of these intellectual property rights and undertakes to comply with them at all times. JANICE is and remains the exclusive owner of these intellectual property rights at all times.

10.3 The Buyer may therefore not copy, publish, imitate, exploit, or use JANICE’s intellectual property rights in any other way or in any other form without JANICE’s written consent. This consent must be obtained in writing unless JANICE has granted a right to share certain aspects of the intellectual property rights via social networks. In such a case, the grant of rights is limited to the specific elements identified by JANICE and to the methods of use and social networks for which JANICE has enabled sharing, in any event exclusively on a non-exclusive basis.

10.4 The Buyer expressly acknowledges that all intellectual property rights in any information, communications, or other expressions displayed regarding the products and/or the website are vested in JANICE, its suppliers, or other rights holders.

10.5 Intellectual property rights are understood to mean patent, copyright, trademark, design, and model rights and/or other (intellectual property) rights, including sui generis rights to databases and the topography of semiconductor products, or other creations, as well as—whether or not patentable—technical and/or commercial know-how, methods, and concepts.

10.6 The Buyer is prohibited from using, including making modifications to, the intellectual property rights as described in this article without the express prior written consent of JANICE, its suppliers, or other rights holders, unless such use is strictly for private purposes in relation to the product itself.

ARTICLE 11 — PERSONAL DATA

11.1 JANICE will process the Buyer’s data exclusively in accordance with its privacy policy. The website contains a comprehensive Privacy Statement.

11.2 JANICE shall comply with the applicable privacy regulations and legislation.

ARTICLE 12 — GOVERNING LAW AND JURISDICTION

12.1 The General Terms and Conditions of Webshop JANICE B.V. apply to all offers and agreements.

12.2 The applicability of the Vienna Sales Convention is expressly excluded.

12.3 All disputes relating to or arising from offers made by JANICE or agreements concluded with JANICE shall be submitted to the competent court in Amsterdam, unless the law expressly designates another court as competent.

ARTICLE 13 — MISCELLANEOUS

13.1 JANICE is located in Rosmalen, De Grote Elst 70, 5246JR Rosmalen, operating under the name Webshop JANICE B.V. and registered with the Chamber of Commerce under no. 91237777. 13.2 JANICE strives to respond to emails received within 72 hours on business days.
